User Registration Service Agreement

 “BeeRich”, which is operated by BeeRich Limited (hereinafter referred to as “we” or “us”), is a network platform that provides online knowledge and courses related to financial planning and investment to users. BeeRich consists of the official website (https://www.beerichinvest.com) of BeeRich, the mobile terminal software (i.e., BeeRich App) developed by it that achieves part of or all functions of BeeRich, and the WeChat Service, applet of WeChat and Weibo that BeeRich may develop and operate.

BeeRich shall strictly abide by any relevant laws and regulations. Before you register as a user of BeeRich, please read over the following clauses, especially the clauses marked in bold (including but not limited to the provision that any dispute related to the Agreement shall be governed by the Court of Hong Kong under Article 10, “Applicable Law and Jurisdiction”). Please don’t determine whether to accept this User Agreement of BeeRich (hereinafter referred to as “the Agreement”) until you have fully understood the contents of all clauses. Your submission of the user registration application to BeeRich means that you have read all clauses of this Agreement, you have known and fully understood the meaning and relevant legal consequence of the clauses, and you have agreed to be bounded by the Agreement.

Please be noted that we have marked the clauses in bold that are or may be significant to you and that exempt or restrict BeeRich in terms of liability.

When you use some specific services of BeeRich, such services may apply to their special service agreements and rules (hereinafter referred to as “special agreements”). Such special agreements will be listed separately. Before you use such services, please read and agree on such special agreements.

Where you agree on this Agreement or special agreements, or you have used BeeRich in fact, it shall be deemed that you have fully accepted all contents and clauses of this Agreement or the special agreements, including any modification and upgrading that BeeRich will make to this Agreement or the special agreements from time to time; meanwhile, it shall be deemed that you have agreed on the Privacy Policy announced or updated by BeeRich from time to time. This Agreement, the special agreements and relevant Privacy Policy shall consist of the legal documents that have legal binding force on both parties. Where you fail to agree on this Agreement or the special agreements, you shall stop your registration immediately or take the initiative to stop using the services provided by BeeRich.

In case that the country/region where you are located excludes all or part of the Agreement, you shall immediately stop using relevant services; otherwise, your continued use of the services of BeeRich shall be deemed that you agree to bear relevant legal risks or legal liabilities.

Article 1 Signing and Amendment of the Agreement

1. Once you agree to this Agreement and complete the registration procedure, you will become an official user of BeeRich. Your successful registration with BeeRich shall be deemed that you have independent capacity for civil conduct, you know the corresponding rights to which you are entitled, and you are able to bear your legal liabilities independently. If you are under 18 years old, you must use the services of BeeRich under the supervision of your parent or guardian; once a minor under 18 years old registers successfully with BeeRich, it shall be deemed that the minor user’s guardian is fully aware of the minor’s registration and allows the minor to register with BeeRich and to use the services of BeeRich.
2. This Agreement includes all clauses of this Agreement, and a variety of rules, interpretations, statements, notices and etc. that BeeRich has released or may release in the future. All the above-mentioned rules, interpretations, statements and notices shall form integral parts of this Agreement and shall have the equal legal effect as this Agreement. When you register as a user of BeeRich, you have read, understood and accepted all clauses of this Agreement, and a variety of rules, interpretations, statements, notices and etc. of BeeRich; and you understand and accept any and all rules, interpretations, statements and notices to be released by BeeRich from time to time after you register as a user of BeeRich. You agree to abide by any relevant provisions of laws, regulations and normative documents; and you shall independently assume all corresponding legal liabilities in your own name, in case that your violation of such provisions of laws, regulations and normative documents results in any legal consequences.
3. BeeRich shall have the right to modify any clause of this Agreement, and to formulate and modify a variety of rules, interpretations, statements and notices and release the same via BeeRich, from time to time, without sending any prior notice to you. You shall pay attention to changes of any clause of this Agreement, and a variety of rules, interpretations, statements and notices. Your continued use of the services of BeeRich after such changes of any clause of this Agreement, the rules, interpretations, statements and notices shall be deemed that you have fully read, understood and accepted the revised contents, and shall comply with the revised clauses of this Agreement, and the revised rules, interpretations, statements and notices.If you fail to accept the revised contents, please immediately stop using the services of BeeRich.
4. Once you confirm this Agreement by yourself or authorize relevant subjects to confirm the same, this Agreement shall have legal effect between you and BeeRich.

Article 2 Service Content

1. BeeRichprovides users online knowledge and courses related to financial planning and investment through BeeRichAPP, including but not limited to courses, products and knowledge related to stocks, funds, financial planning, loans, credit cards and insurance.
2. Users may directly download BeeRich APP at the official website and other channels of BeeRich, or obtain the APP from third parties authorized by BeeRich. Where you obtain BeeRichApp from an unauthorized third party, BeeRichwill not guarantee the normal use of your APP and will not be liable for any adverse consequences arising therefrom. In order to improve user experience, improve contents of the services and ensure security of the services, BeeRich shall have the right to update BeeRich App and its official website, and to modify or restrict any function of the APP, from time to time.
3. Users can register an account on this Website to use the services provided by BeeRich. After a user successfully register with this Website, BeeRich will offer the user an account number and the corresponding password. After being approved by BeeRich, each account number will correspond to a unique name (or nickname, user name). The ownership of accounts (including names, nicknames, user names, and etc.) on BeeRich shall belong to BeeRich. After completing the application for registration, a user can obtain the right to use his/her account on BeeRich, and shall use the account only for personal purposes rather than commercial ones.
4. Users shall keep their accounts and passwords secure. The right to use the user account and password shall belong to the initial registrant only, and it is prohibited from donating, borrowing, leasing, transferring or selling the right to use.
5. Users shall provide complete, true, accurate and up-to-date personal information, which is of great importance to use the services of BeeRich and retrieve the lost account and password on BeeRich. A user shall be responsible for any problem arising from untruthful registration information; in such case, BeeRich shall bear no liability for it and shall have the right to suspend or terminate the user's account.
6. In case of illegal use of user account or password by others or in case of any other security problem, the user shall notify BeeRich immediately. BeeRich shall bear no liability for illegal use of user account or password by others due to hacktivism or the user's fault.
7. Where any organization or individual who registers an account of BeeRich drafts, duplicates, releases or communicates information, such organization or individual shall use true identity information, without registering on BeeRich with any untruthful or false identity information, enterprise registration information or organization code information.
8. Users understand and agree that the paid courses of BeeRich shall be purchased as a whole, i.e., a user who has purchased the course once shall be entitled to repetitive learning of all courses that have been published or will be published in the future, without needing to pay the courses again. Users understand and agree that BeeRich will update the paid courses from time to time, without users’ prior consent.
9. Any user acknowledges and agrees that he/she shall have no right to sell, transfer, license or otherwise enable any other third party (including but not limited to natural persons, corporations or other organizations) to use the courses that he/she has purchased.

Article 3 User Information and Its Protection

1. Scope of User Information

 (1) Personal information of users. A user who intends to register an account and use the services of BeeRich shall pass the authentication of his/her real identity information. Personal information of users refers to a variety of information recorded electronically or in any other way that can recognize the identity of a specific natural person or reflect the activities of the same, separately or with combining other information, including but not limited to: real name, cell phone number, email address, and etc. of users.

 (2) Other personal information of users. Other personal information of users includes all records and information of users retained in BeeRich, including communication records, service evaluations, operation statuses, usage records, usage habits, and etc.

 (3) Registration information. The registration information includes the account names and avatars of users. The registration information submitted by users to BeeRich shall contain no illegal or bad information. BeeRich shall reserve the right to refuse the registration of any account that contains any illegal or bad information. Meanwhile, in order to protect users' personal information and privacy rights, BeeRich will consciously accept the social supervision, and promptly deal with illegal and bad information in registration information (e.g., account names and avatars of users) that is reported by the public.

 (4) Information recorded by third-party platforms. Where a user registers an account, logs in to BeeRich or uses the services of BeeRich via a third-party platform, e.g., WeChat and Apple ID, it shall be deemed that the user has fully understood, agreed and accepted that BeeRich has the right to use the information that the user completes, registers, discloses and records in WeChat or other third-party platforms, and the modes of such usage include but are not limited to collection, statistics and analysis. Once a user registers an account, logs in to BeeRich or uses the services of BeeRich via a third-party platform, it shall be deemed that BeeRich’s use of such information recorded by such third party platform has been authorized by the user.

 (5) Personal information of users, other personal information of users, registration information and information recorded by third-party platforms are hereinafter collectively referred to as the "user information".

2. Any user shall,based on the principle of honesty and trustworthiness, provides his/her user information and other necessary information to BeeRich.The information provided by users shall be legal, true, accurate and complete, and shall be updated in a timely manner. Where a user suffers from any loss, is being charged any fee, or causes any adverse consequence during he/she uses the services of BeeRich, due to the reason that he/she fails to provide true, accurate or complete information or fails to update his/her information in a timely manner, the user shall bear such loss, fee or adverse consequence; in such case, BeeRich shall reserve the right to suspend or terminate the user’s right to use the services of BeeRich.
3. BeeRich hereby states and commits that it will keep user information strictly confidential and will not rent or resell any user information to any third party. However, with your consent and authorization, BeeRich may directly use your user information for the following purposes, without obtaining additional consent and/or authorization from you:

 (1) Collecting, retaining and providing user information (including but not limited to your personal information) as required by the laws and regulations and regulatory authorities.

 (2) Carrying out user identity verification and data verification, so as to ensure the security of activities to be carried on BeeRich and prevent illegal criminal activities.

 (3) Internal use (e.g., internal classification and internal analysis) of BeeRich and its related parties, so as to improve the services to be provided to users.

 (4) Preventing, detecting and investigating fraud, infringement, safety hazards, illegal or violations of agreements, policies or rules of BeeRich or BeeRich’s related parties, so as to protect the legitimate rights and interests of you, other users, BeeRich and BeeRich’s related parties.

 (5) Combining information from one service and that from other services, so as to provide better and personalized services, contents and suggestions to users.

 (6) Charging a variety of fees (if any) from users and paying the same (if any) to users.

 (7) Recommending target products, services or promotion activities of BeeRich for users, and sharing them with related parties and partners of BeeRich, so as to provide or recommend products, services or promotion activities of related parties and partners of BeeRich for users. Users agree that BeeRich, and related parties and partners of BeeRich may provide or send service status notifications, marketing activities and other similar commercial information to users, by means of letters, emails, phone calls, SMSs and etc.

 (8) Providing personal data and information of users to competent arbitration agency or to judicial, administrative, legislative or other similar authorities, as required by relevant laws and regulations.

 (9) Other circumstances authorized by users.

4. Any user shall maintain the security of his/her account and password on BeeRich, and shall assume full responsibilities for any and all actions of his/her account on BeeRich. Any user cannot buy, sell, transfer or lease his/her account to any other person; otherwise, the user shall assume full responsibilities arising therefrom. In case of unauthorized use of his/her account or password, or in case of any security problem, the user shall be obligated to notify BeeRich and to report to local public security organ in a timely manner.
5. Users agree and accept that BeeRich may send service information, special recommendations, promotional campaigns and other similar information to users, through SMSs, phone call, email or instant messaging client (webpage) or by any other lawful means.

Article 4 Fees and Payment

1. All the courses will be update from time to time , our APP "比财BeeRich " will also display detailed course catalogues and prices .
2. Delivery method : We will release the corresponding course to client's BeeRich account within 1-2 business days of purchase .
3. When a user uses a paid course service on BeeRich, before inquiring, enrolling in, purchasing and using the course or paying for the course, the user shall carefully judge the accuracy, authenticity and legality of the information (including but not limited to course content, starting time of the course, duration of the course, and etc.) related to the course released by the course publisher. When paying for paid courses, users may choose the payment methods including WeChat Pay, Alipay, Apple Pay, Google Pay and payment by credit card, subject to the payment methods actually provided for relevant courses.
4. After a user successfully enrolls in a course, he/she shall accept the relevant course services on the prescribed time and before the deadline. Where a user fails to accept all or part of relevant course services due to reasons not attributable to BeeRich, the user shall bear the relevant responsibilities; in such case, it shall be deemed that the user has studied relevant courses, and the user shall have no right to request BeeRich to refund any fees to him/her.
5. After a user pays for a course, in case that the course published by BeeRich does not violate any provision of laws and regulations, the user isnot allowed to apply for refund for the course.

Article 5 Intellectual Property

1. The intellectual property of the works presented by BeeRich in any form, including but not limited to webpage text, picture, audio, video and software, shall be owned by BeeRich, or BeeRich have obtain legal authorization of such works. Without written permission of BeeRich, no user is allowed to download, record, copy, modify, transfer, distribute, sell or transmit any content of BeeRich or create any derivative works in any way, for any other purpose than the user’s self-learning.
2. Any and all logos, texts or their composition, and name of products and services involved in the services of BeeRich shall be trademarks or corporate identities of BeeRich. Without BeeRich’sprior written consent, users can not display, use or dispose logos of BeeRich in any way, nor shall they show others that they have the right to display, use or handle logos of BeeRich.

Article 6 Code of Conduct for Users

1. All users agree to abide by relevant laws and regulations and pay strict attention to the comments and contents published by them, when they use the services provided by BeeRich to them. No user is allowed to publish any of the following comments or to be engaged in any of the following behaviors; otherwise BeeRich shall have the right to immediately suspend or terminatethe services provided to the user, and to take any and all necessary measures:

 (1) Posting comments and contents that are opposed to the basic principles stipulated in the Constitution of the People's Republic of China and Basic Law of Hong Kong Special Administrative Region or to the provisions of laws and regulations of Hong Kong;

 (2) Posting comments and contents that endanger the national security, reveal national secrets, subvert the state power or destroy the national unity;

 (3) Posting comments and contents that damage national honor, national interests or public interests;

 (4) Posting comments that incite ethnic hatred, ethnic discrimination or destroy the ethnic unity;

 (5) Posting comments and contents that violate religious policies, and advocate heresies or feudalistic superstition;

 (6) Spreading rumors or posting comments and contents that disturb the social order and destroy the social stability;

 (7) Posting comments and contents related to previous state leaders and to current politics;

 (8) Posting comments and contents that insult or slander others or infringe legal advantage of others;

 (9) Posting comments and contents that have harmful effects on minors;

 (10) Posting obscene, pornographic, gambling, violent, murder, terrorist or illegal religious contents or contents that incite crimes;

 (11) Being engaged in money laundering, stealing trade secrets, stealing other users' personal information and other illegal and criminal activities via BeeRich;

 (12) Intruding into the computer information system of BeeRich or of the country, or spreading viruses, Trojan horses, time bombs and other malicious viruses or programs that may cause damage to or effect on BeeRich and its system;

 (13) Being engaged in any profitable business activity that is not approved by BeeRich; or

 (14) Infringing upon right of any third party, in particular intellectual property or legal rights of others, e.g., copyright and trademark rights.

2. Except for the conditions provided for by Paragraph 1 of Article 6 herein, if a user releases illegal or bad information, seriously violates social ethics, or otherwise violates prohibitive provisions, provides untruthful personal information, or fails to provide reasonable proof certifying conformity of the personal information provided by him/her with the registration information concerned if he/she is alleged to provide untruthful personal information, or as required by supervision departments, or for the reason of security, or in case of other necessary circumstances, BeeRich shall reserve the right to delete the information that does not comply with laws or policies, or untruthful information, without notifying the user.Where any user fails to comply with the above-mentioned provisions, BeeRichshall have the right to immediately suspend or terminate the services provided to the user, and to take any and all necessary measures.
3. The special audit staff of BeeRich shall be responsible for judging the improper comments and contents involved in Paragraph 1 and Paragraph 2 of Article 6 herein. Where any user doubts about the auditing/handling result, he/she shall contact on BeeRich via customer service phone or email for further handling.
4. The “any and all necessary measures” specified in Paragraph 1 and Paragraph 2 of Article 6 herein include but are not limited to one or more measuring provided for as follows:

 (1) Changing, deleting or shielding relevant contents;

 (2) Warning illegal users or banning illegal accounts to post;

 (3) Changing, restricting or prohibiting part or all functions of illegal accounts;

 (4) Suspending, restricting or terminating users’ rights to use BeeRich, or cancelling users’ accounts;

 (5) Reporting to relevant regulatory authorities or government offices; and

 (6) Other measures considered reasonable by BeeRich.

Article 7 Intellectual Property

1. Except for the contents that are otherwise stated by BeeRich or are enjoyed by relevant right holders in accordance with provisions of laws and regulations, the ownership and intellectual property of any and all information in the products of BeeRich shall be owned by us. Such information includes but is not limited to program code, interface design, layout frame, data information, text, picture, diagram, icon, audio and video.
2. Without authorization of us and relevant right holders, no user could copy, imitate, communicate, publish, announce, display or use any content specified in Article 2 of this Agreement, in any way or form, including but not limited to electronic, mechanical and photocopying way or form, or audio and video recording; and no user is allowed to mirror the same to any other website or server. Any unauthorized use of the above-mentioned contents is illegal, and the relevantlegal liabilities shall be pursued by us.

Article 8 Disclaimer

1. BeeRich hereby states that it bears no legal liability for occurrence of any of the following matters:

 (1) Users shall abide by relevant laws, regulations and administrative rules. Where any user violates any provision of laws or regulations or this Agreement, BeeRich shall have the right to stop providing services to users, without bearing any liability; if any user's illegal use causes any damage to BeeRich results in that BeeRich is suffered from any dispute, lawsuit or claim from any third party, the user shall compensate for BeeRich’s corresponding losses, and in such case, the user shall bear any and all legal liabilities for any and all consequences arising from its breach of this Agreement.

 (2) Disclosure of any personal information due to the reason that a user discloses his/her password to any other person or shares his/her registered account with any other person; or disclosure of any personal information due to reasons not attributable to BeeRich;

 (3) Your personal information that is provided as required by provisions of laws or relevant government policies;

 (4) Information obtained from BeeRich due to illegal interception and access, e.g., hacker attack and computer virus invasion; and

 (5) Any consequences caused by internationally recognized force majeure factors, e.g., typhoon, earthquake, tsunami, flood, power failure, war and terrorist attack.

2. Since the service behaviors under this Agreement are related to Internet, mobile communication services and other services, they may be influenced by unstable factors (force majeure events, hacker attack or computer virus invasion) in each link, and thus there are risks of service interruption or failure to meet users’ requirements. Users shall understand and acknowledge such interruption and failure, and shall bear the above-mentioned risks. Due to the influence of unstable factors mentioned above, BeeRich hereby states and declares that it does not guarantee the timeliness, security and accuracy of its services, and assumes no responsibility for users’ failure to receive information or transmission errors arising therefrom; and users shall understand and accept this.
3. Where the normal operation of BeeRich is suspended due to the failure of BeeRich’s own system, BeeRich states and commits that it will immediately cooperate with relevant units to deal with and repair such failure, in a timely manner. However, BeeRich shall not be responsible for users’ economic loss arising therefrom. In addition, BeeRich shall reserve the right to suspend all or any part of services of BeeRich for the reasons of maintenance, upgrading or other purposes, without any prior notice.

Article 9 Notices

BeeRich shall have the right to send any and all notices under this Agreement via publicity on its official website and APP, or sending the same to your account in BeeRich, to the email address provided by you via email, or to your cell phone number via SMS, or by calling you. In case that the notice is sent via publicity, it shall be deemed served on the day of publicity; in case that the notice is sent via electronic message to your account in BeeRich, your email address or your cell phone number, it shall be deemed served once the electronic message is successfully sent; in case that the notice is send via calling, it shall be deemed served at the time of calling. Please pay close attention to your email address, message in your account and SMS in your cell phone; in case of any change in your contact information, please update it at relevant sections on BeeRich, in a timely manner; We will only send notices to you via the contact information provided by you; where you fail to comply with the above-mentioned provisions to update your contact information in a timely manner, any and all losses resulting therefrom shall be borne by yourself. Meanwhile, you agree and acknowledge that you may not receive any notice or reminder from us if you have set that you accept no relevant notice or reminder from BeeRich; in such case, you shall have no right to claim that you have not received or read such notices.

Article 10 Governing Law and Jurisdiction

Any dispute arising from the signing and performance of this Agreement shall be governed by laws of Hong Kong, and either party may file a lawsuit before the Court of Hong Kong.

Article 11 Miscellaneous

1. If you access or use BeeRich in countries or regions outside Hong Kong, you shall be responsible to strictly abide by laws and regulations related to online behaviors and acceptable contents stipulated by such countries or regions.
2. Where any provision in this Agreement is deemed invalid or unenforceable, other provisions shall remain valid and shall continue to be performed.
